These Terms of Service ("Terms") are an agreement between you and ID8t LLC, a Virginia limited liability company doing business as Seda RE ("ID8t," "we," "us"). They govern your use of the Seda RE mobile app, your Seda RE account web pages and the services we provide through them (together, the "Service"). Our public marketing website is not part of the Service. "You" means the individual who accepts these Terms.

PLEASE READ SECTIONS 3, 4, 13, 14, 15, 16 AND 17 CAREFULLY. THEY EXPLAIN THAT YOU ARE RESPONSIBLE FOR EVERY DOCUMENT YOU SUBMIT OR SEND, THAT ID8T IS NOT LIABLE FOR TRANSACTION LOSSES, THAT ID8T'S LIABILITY IS LIMITED, THAT YOU INDEMNIFY ID8T FOR CERTAIN CLAIMS, THAT CLAIMS MUST BE BROUGHT IN VIRGINIA WITHIN ONE YEAR, AND THAT YOU WAIVE JURY TRIALS AND CLASS ACTIONS.

01 · Acceptance, eligibility and your brokerage

1.1 Acceptance. You accept these Terms by selecting the button shown with them in the app that states that selecting it means you agree to these Terms, or by signing them. We record the version you accepted and when. If you do not accept these Terms, do not use the Service. Receiving an invitation is not acceptance.

1.2 Eligibility and authorized users. You must be at least 18 years old and able to form a binding contract. You may use the Service only if a Customer has assigned you a seat, or ID8t has invited you to a pilot, and you are (a) a real-estate licensee, such as an agent, team leader or broker, or (b) brokerage or team personnel, such as an administrator, assistant or transaction coordinator, who work under the supervision of a real-estate licensee and act only within the activities the law and your supervising broker permit. You may use the Service only for transactions in the jurisdictions enabled for your account.

1.3 Your brokerage. You confirm that your use of the Service, including sending your clients' information to the Service and its providers, is permitted by your supervising or principal broker's policies, written supervision procedures and record-keeping rules. You are responsible for meeting those obligations. ID8t does not supervise you, verify your license or check your brokerage's policies.

1.4 Customer accounts. Your seat is purchased by a "Customer," which may be a brokerage, a team or an individual agent, including you. The Customer's subscription is governed by the Seda RE Customer Subscription Agreement and the Customer's Order Form (together, the "Customer Subscription Agreement"). If you purchase for yourself, you are the Customer and you also accept the Customer Subscription Agreement. If you accept for an organization, you confirm that you are authorized to bind it.

1.5 Order of documents. The Customer Subscription Agreement governs purchase, billing, service commitments and the Customer's claims, and it controls if it conflicts with these Terms. Its Schedule A (Data Processing Terms) governs personal information we process for the Customer. These Terms govern your individual use. Our Privacy Policy explains how we handle personal information and is not a contract term.

02 · What Seda RE is

2.1 A tool for licensed professionals. Seda RE is software that helps you prepare real-estate transaction documents in your own SkySlope account from your spoken or typed debrief. ID8t is not a law firm, real-estate broker, lender, title company, settlement agent, escrow agent or party to any transaction. The Service does not give legal, tax, financial or brokerage advice. When Seda describes what a form's printed text says, that description is not advice about its legal effect. Ask your supervising broker or a lawyer about legal questions.

2.2 No duty to your clients. ID8t provides the Service only to Customers and their users. ID8t makes no statement to, and owes no duty to, your clients, the other parties to a transaction, or anyone else who is not a party to these Terms. They may not rely on any output of the Service.

2.3 Supported forms. The Service works only with the forms, form versions and packets listed in the Customer's Order Form or that ID8t confirms in writing are supported for your account ("Supported Forms"). A new form, a changed packet or template, or a new form version released through SkySlope may need preparation before you can use it. A deal that uses an unsupported form or version may be unavailable until it is supported. We will try to keep interruptions short, but we do not promise a turnaround time unless the Customer Subscription Agreement says so.

03 · How Seda RE fills your documents

3.1 Seda RE makes decisions about what to fill. You should understand the following before you use the Service:

  • Seda RE does more than transcribe. It decides which fields your words answer. When your words plainly answer a field you did not name, it may fill that field, tick a box or choose one of the form's printed options.
  • It may add a form to a packet or remove one because of what you said.
  • It may fill fields from other sources: your preset, your team's SkySlope template, your SkySlope account profile, a listing imported by SkySlope, or a connected CRM record. It may also fill fields from defaults and arithmetic.
  • It looks up the property on the internet, using an AI web-search service, and may fill property fields (such as lot size, year built, tax or parcel details) from public web pages. Online information is often outdated or wrong, and ID8t does not verify it. Each such value shows the web page it came from.
  • It may correct apparent transcription errors, clean up spoken language into written form, complete names you mentioned, and translate a debrief spoken in another language into English.
  • Your latest act wins. A newer recording replaces values on file, including values you typed. Spoken instructions can correct, clear, move or copy values already on file. A date or amount calculated from another field recalculates when that field changes.
  • Each filled value shows its source, but Seda RE does not ask you to approve each value. Submit files whatever the deal holds when you tap it.
  • When core fields are empty or a value is held for your attention, Seda RE shows a general warning before Submit. That warning does not list every field. It does not warn you about values Seda RE filled for you.
  • Seda, the app's voice, is generated by artificial intelligence. Her spoken and written responses are AI output.

3.2 Dates and amounts. Seda RE calculates some dates and amounts from what you say. It counts a "business day" as Monday through Friday. It does not skip public holidays and does not apply any contract's own definition of a day or business day. It resolves relative dates ("next Friday," "in ten days") from the date of the device on which you recorded. It does not know a contract's ratification or acceptance date unless you state it. Check every calculated date and amount against the contract's own terms.

3.3 Recipients and sending. Seda RE can prepare a signing request in SkySlope's signing service. Email addresses you speak may be transcribed incorrectly. Confirm every recipient before you send. A change you make in Seda RE after a document has been sent may not change the copy a signer sees. Do not rely on an edit after sending; send a new or corrected document where needed.

3.4 Automated output can be wrong. Transcription, extraction, translation, calculation, sources, warnings and Seda's observations can be wrong, incomplete or misleading. The absence of a warning does not mean a value is correct.

04 · You are responsible for every document

4.1 Your responsibility. You are solely responsible, from start to finish, for the content of every document you prepare, submit, send or sign using the Service, and for its legal and practical effect. This includes every name, address, price, amount, date, deadline, contingency, checked box, selected option, included or omitted form and recipient, whether you typed it or Seda RE filled it.

4.2 Review before you send. Before you rely on, send or sign any document, review every value and form in Seda RE and then review the final document rendered in SkySlope. Selecting Submit instructs Seda RE to file the deal's values into SkySlope. It does not sign or send anything. Sending requires a separate action by you in the signing workflow.

4.3 Deadlines and records. You are responsible for meeting every transaction deadline, delivering every required notice and keeping the records your brokerage and the law require. Seda RE is not a deadline-tracking service and is not your brokerage's record-keeping system. A network failure, an unprocessed recording or an incomplete sync does not extend any deadline.

05 · Recordings and the information you provide

5.1 Your own dictation. The Service is designed for your own dictation about a deal. You decide when to record. You are solely responsible for complying with recording and eavesdropping laws. Some jurisdictions, including Maryland, require the consent of everyone in a private conversation before it is recorded. Do not record another person unless you have every consent the law requires. Do not use the Service to record or monitor anyone covertly. Your device's microphone permission is not consent from anyone else. ID8t does not monitor how or where you record and is not responsible for a recording you make.

5.2 Information about other people. Provide only information you are entitled to use and that the transaction reasonably needs. You are responsible for giving any notice and obtaining any consent the law or your brokerage requires before you provide information about your clients or other people. Do not provide passwords, payment-card numbers or security codes, or health information unrelated to the transaction.

5.3 Sensitive transaction details. Some forms ask for sensitive details such as government identification numbers or bank or loan account numbers. Provide them only where the form requires them and you are authorized to do so.

5.4 Our service providers and AI. To provide the Service, we send your audio to our speech provider for transcription, and we send transcripts, form details and deal context to our AI model provider to fill fields and generate Seda's responses. Text may also be sent to our speech provider to generate Seda's voice. The property address and description, without client names or deal terms, are sent to our AI model provider's web-search service to look up the property. We name these providers in our Privacy Policy. After you accept these Terms, and before anything is sent to these providers, the app shows a separate screen that names them, says what they receive, and asks you to tap Allow. The Service cannot work without this permission, so if you do not allow it, you cannot use the Service. You may withdraw that permission at any time by deleting your account in the app's settings, or by emailing [email protected], after which recording and AI features stop for your account. Recording while offline delays this sharing; it does not keep processing on your device.

5.5 License to ID8t. You keep the rights you have in your content. You grant ID8t and its service providers a nonexclusive license to host, copy, transmit, process and display your content as needed to provide, secure, support and diagnose the Service and to carry out your instructions, as described in the Customer Subscription Agreement and our Privacy Policy. ID8t does not sell your content and does not use it to train or fine-tune any AI model.

06 · Connected services

6.1 SkySlope and other platforms. The Service connects to services operated by others, including SkySlope, SkySlope's signing service and supported CRMs (each a "Platform"). You authorize the reads and writes each workflow you request requires. Your use of each Platform is governed by your own agreement with it. ID8t does not supply, own or license the forms, listing data or records available through a Platform. Seda RE is not affiliated with, endorsed by or sponsored by SkySlope or any other Platform, and their names are trademarks of their owners. ID8t is not responsible for a Platform's content, availability, accuracy or practices.

6.2 Platform rules. You will follow the Platform rules ID8t tells you about and will not use the Service in a way that would cause ID8t to breach its agreement with a Platform. If a Platform restricts, suspends or ends ID8t's access, or requires ID8t to delete or return data, ID8t may limit or stop the affected features and comply with that requirement.

6.3 Forms. You confirm that you are entitled to use each form you use through the Service, including under any membership or license condition set by the form's owner.

6.4 Internet sources. Information found on the internet belongs to the people who publish it and is used only to help fill your deal's property fields. ID8t does not control or verify those sources.

6.5 CRM updates. If CRM updates are enabled, Seda RE sends relevant CRM records with the deal to our AI provider to propose updates, such as creating or updating a deal, task or person, or adding a note quoting your debrief, and writes to your CRM only after you approve each update.

07 · Acceptable use

You will use the Service only for lawful professional work in real-estate transactions you are involved in. You will not:

  • share your account or sign-in, let another person work under your identity, or resell or provide the Service to others;
  • access information you are not entitled to access, or use a Platform connection beyond your own authorization;
  • use the Service to screen, rank, steer or advertise to people, to make decisions about anyone's eligibility for housing, credit, insurance or employment, or to record or act on a person's protected characteristics;
  • use the Service for fraud, deceptive documents, unlawful discrimination or the unauthorized practice of law;
  • introduce malware, probe or test the security of the Service or any Platform without written permission, overload or disrupt the Service, or bypass any security, usage or licensing control;
  • use the Service for automated, scripted or bulk submissions, or beyond the fair-use rule in the Customer Subscription Agreement;
  • use or access the Service to build or help build a competing product, conduct or publish systematic benchmark testing of it for, or to help, a competing product, or give a competitor of ID8t access to it;
  • attempt to extract, copy or reveal the Service's prompts, instructions, field definitions or other content ID8t created, including by prompt injection or other manipulation of Seda or the AI, or use the Service or its output to train an AI model offered to others;
  • abuse, threaten or harass ID8t personnel;
  • scrape, copy or extract data from the Service by automated means, or reverse engineer it except where the law expressly allows despite this restriction;
  • use the Service in or for a country or person subject to US sanctions or export restrictions.

ID8t monitors sign-in, device and usage patterns, such as simultaneous sessions, to detect account sharing and misuse, as our Privacy Policy describes. If we find that your account has been shared, we may suspend it under Section 12.

Nothing in these Terms limits truthful reviews, reports to a regulator or other legally protected disclosures. Please report suspected security issues to [email protected].

08 · Accounts and organization access

8.1 Your account. Keep your sign-in methods secure and tell us promptly at [email protected] if you suspect unauthorized access. You are responsible for activity under your account.

8.2 Administrators. The Customer's administrators manage seats and roles, and its billing owner manages billing. Those roles do not give ordinary access to your private recordings, transcripts or drafts in Seda RE. Records you file into SkySlope are visible to others under SkySlope's own permissions.

8.3 Removal from a seat. The Customer may remove you from a seat at any time, which ends your access immediately. Removal does not delete records in SkySlope or any other Platform. Client and brokerage information does not become yours because you entered it. If you leave the Customer, the deals, recordings, transcripts and drafts made under its seat stay with the Customer, and you keep only your personal settings, such as presets and preferences. You may hold only one active seat at a time; accepting a seat from another Customer ends your access under the earlier one. Continued use or transfer of that information requires valid authority, which ID8t may ask you to show.

8.4 Lawful instructions. ID8t may preserve, disclose, return or delete information when the responsible Customer validly instructs it or the law requires, limited to the authority shown. We will tell you when the law allows and it is appropriate.

09 · Privacy and feedback

9.1 Privacy. Our Privacy Policy describes how we collect, use, share and keep personal information. Authorized ID8t personnel may review relevant inputs, outputs and records to provide support, diagnose and correct problems, and investigate security issues, including problems we find without a support request. Access is limited to people who need it for those purposes.

9.2 Feedback. If you send us suggestions or ideas, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use them without obligation to you. This does not let us publish your personal information, customer content or confidential information, or use your name, likeness or quotes publicly without separate permission.

10 · Our rights

The Service, the app, our software, field definitions, and the content we create to support forms (excluding the forms themselves and your content) belong to ID8t and its licensors. ID8t grants you a limited, revocable, nonexclusive, nontransferable license to use the Service while you have an active seat, under these Terms. No other rights are granted. As between you and ID8t, you may use the field values the Service produces from your content for your transactions, but ID8t does not promise that any output is unique or protected by intellectual-property law.

11 · Changes, previews and availability

11.1 Changes to the Service. We may change, improve or remove features. Commitments to Customers about service changes are in the Customer Subscription Agreement.

11.2 Previews. We may offer features marked "preview" or "beta." They are provided as is, may change or end at any time, and are excluded from any warranty or service commitment.

11.3 Availability. We do not promise that the Service will be available at any particular time or will be uninterrupted or error-free.

12 · Suspension and ending your access

12.1 Suspension. We may suspend or limit your access if reasonably necessary to address a security risk, a breach of these Terms, a legal requirement, a Platform requirement, abusive conduct toward ID8t personnel, or the end or suspension of the Customer's subscription. We may end your access immediately if you obtained it by fraud, a false statement about your identity or license, or an unauthorized payment method, if you use the Service for fraud or to harm others, or if you break the competitive-use or AI-manipulation rules in Section 7. Where practical, we will tell you why and give you a chance to fix the problem first.

12.2 Ending. You may stop using the Service at any time. Stopping use or deleting the app does not cancel the Customer's subscription; the Customer Subscription Agreement explains cancellation. We may end these Terms for you if your seat ends or you materially breach them. Sections 4, 5.5, 6.3, 7, 9, 10, 13, 14, 15, 16, 17 and 18 survive.

13 · Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." EXCEPT FOR ANY EXPRESS WARRANTY ID8T GIVES IN THE CUSTOMER SUBSCRIPTION AGREEMENT, AND TO THE FULLEST EXTENT THE LAW PERMITS, ID8T DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, NON-INFRINGEMENT AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. ID8T DOES NOT WARRANT THAT ANY OUTPUT IS ACCURATE, COMPLETE OR LEGALLY SUFFICIENT, THAT ANY WARNING WILL APPEAR, OR THAT ANY TRANSACTION WILL CLOSE.

14 · No liability for transaction losses

ID8T IS NOT LIABLE FOR ANY TRANSACTION LOSS, MEANING ANY LOSS OR CLAIM ARISING FROM THE CONTENT, DELIVERY, TIMING OR LEGAL EFFECT OF A TRANSACTION DOCUMENT OR TRANSACTION, INCLUDING LOST OR FORFEITED EARNEST MONEY OR DEPOSITS, LOST OR REDUCED COMMISSIONS OR FEES, PRICE DIFFERENCES, PENALTIES, MISSED DEADLINES OR CONTINGENCIES, FINANCING FAILURES, OR THE DELAY, FAILURE, TERMINATION OR RESCISSION OF A TRANSACTION, AND CLAIMS BY CLIENTS OR OTHER TRANSACTION PARTICIPANTS ABOUT A DOCUMENT'S CONTENT, WHETHER OR NOT THE SERVICE CONTRIBUTED TO IT. THIS SECTION APPLIES TO THE FULLEST EXTENT THE LAW PERMITS AND DOES NOT LIMIT LIABILITY FOR ID8T'S FRAUD OR WILLFUL MISCONDUCT.

15 · Your indemnity

To the extent the law permits, you will defend, indemnify and hold harmless ID8t and its members, officers, employees and contractors against any third-party claim, and related losses, costs and reasonable attorneys' fees, arising from (a) a recording you made or content you provided, (b) a document you submitted, sent or signed using the Service, (c) your breach of these Terms or of the law, or (d) your breach of a Platform's terms or your brokerage's policies. If you use a seat purchased by a Customer, the Customer's indemnity under the Customer Subscription Agreement applies first, and your obligation under this Section covers only claims arising from your own conduct outside the Customer's authorization or from your willful misconduct.

16 · Limitation of liability

16.1 Excluded damages. TO THE FULLEST EXTENT THE LAW PERMITS, ID8T IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.

16.2 Cap. TO THE FULLEST EXTENT THE LAW PERMITS, ID8T'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE FEES PAID TO ID8T FOR YOUR SEAT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM. WHERE YOUR SEAT IS PURCHASED BY A CUSTOMER, THE LIMITS IN THE CUSTOMER SUBSCRIPTION AGREEMENT APPLY TO THE CUSTOMER AND ALL OF ITS USERS TOGETHER, AND YOUR CLAIMS COUNT TOWARD THAT SINGLE LIMIT. FOR A PILOT, THE LIMIT IS US$100.

16.3 Exceptions. This Section does not limit liability for fraud or willful misconduct, any refund ID8t expressly owes under the Customer Subscription Agreement, or any liability that the law does not allow to be limited.

16.4 Basis of the bargain. These limits reflect the price of the Service and an allocation of risk that is part of the bargain, and they apply even if a limited remedy fails of its essential purpose.

17 · Disputes

17.1 Talk to us first. Before starting a lawsuit, the person bringing the claim must send a written description of the dispute to the other side, and both sides will try in good faith to resolve it for 30 days. This does not apply to a request for urgent court relief to protect confidential information, intellectual property or system security.

17.2 Governing law and courts. Virginia law governs these Terms and any dispute about the Service, without regard to conflict-of-laws rules. The state courts located in Fairfax County, Virginia and the United States District Court for the Eastern District of Virginia, Alexandria Division, have exclusive jurisdiction, and you and ID8t consent to their jurisdiction. Either side may bring an individual claim in a small-claims court with jurisdiction. A claim that applicable law requires to be brought in another court, such as a claim under the District of Columbia Consumer Protection Procedures Act, may be brought in that court.

17.3 Time limit. To the extent the law permits, any claim arising from these Terms or the Service must be filed within one year after the claim accrues, or it is permanently barred. This period is extended by the length of the 30-day discussion period in Section 17.1.

17.4 Regulators. Nothing in these Terms prevents you from filing a complaint with a government agency.

17.5 Jury trial and class-action waiver. TO THE FULLEST EXTENT THE LAW PERMITS, YOU AND ID8T WAIVE ANY RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING FROM THESE TERMS OR THE SERVICE, AND AGREE THAT ANY CLAIM WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. If this class-action waiver is found unenforceable for a claim, that claim may proceed only in the courts named above, and the rest of this Section remains in effect.

18 · General

18.1 Changes to these Terms. We may update these Terms. We will give at least 30 days' notice of a material change by email or in the app, unless a shorter period is needed to address a legal requirement or a security risk. A material change applies only after you accept it in the app. Changes do not apply to a dispute that arose before the change.

18.2 Notices. We send notices to the email address on your account or in the app. Send legal notices to ID8t LLC, 8401 Mayland Dr, Ste A, Richmond, VA 23294, with a copy to [email protected]. Notice by mail or courier is effective on delivery. A notice by email is effective on the next business day (Monday through Friday, excluding US federal holidays) after it is sent unless the sender receives a delivery failure.

18.3 Assignment. You may not transfer these Terms. ID8t may assign them to an affiliate or to a successor to its business, by merger, sale or otherwise, on notice to you, if the successor agrees in writing to be bound by them and by our Privacy Policy as it applies to information already collected.

18.4 Events beyond our control. ID8t is not responsible for a delay or failure caused by events beyond its reasonable control, including the failure or restriction of a Platform, internet or cloud provider.

18.5 Entire agreement and other terms. These Terms, together with the Customer Subscription Agreement where it applies, are the entire agreement between you and ID8t about the Service. If a provision is unenforceable, it will be enforced to the maximum extent allowed and the rest remains in effect. A failure to enforce a provision is not a waiver. There are no third-party beneficiaries except as stated in Section 19. The parties are independent; these Terms create no agency, partnership or employment relationship. Your separate consent to receive agreements, notices and other communications electronically and to sign electronically is given on the acceptance screen, and you may withdraw it by contacting us, in which case you can no longer use the Service.

19 · Apple App Store terms

If you downloaded the app from Apple's App Store, the following also applies:

  • These Terms are between you and ID8t only, not Apple. ID8t, not Apple, is solely responsible for the app and its content.
  • Your license to the app is limited to use on Apple-branded products you own or control, as permitted by the App Store usage rules.
  • ID8t, not Apple, is solely responsible for providing any maintenance and support for the app. Apple has no obligation to provide maintenance or support for the app.
  • ID8t, not Apple, is solely responsible for any product warranty for the app, whether express or implied by law, to the extent not effectively disclaimed.
  • If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the app's purchase price, if any. To the maximum extent the law permits, Apple has no other warranty obligation for the app.
  • ID8t, not Apple, is responsible for addressing any claim by you or a third party relating to the app, including product-liability claims, claims that the app fails to meet a legal or regulatory requirement, and consumer-protection or privacy claims.
  • ID8t, not Apple, is responsible for investigating, defending, settling and discharging any third-party claim that the app or your use of it infringes that third party's intellectual-property rights.
  • You confirm that you are not located in a country subject to a US government embargo or designated as a "terrorist supporting" country, and that you are not on any US government list of prohibited or restricted parties.
  • You must comply with applicable third-party terms when using the app.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Questions, complaints or claims about the app may be sent to ID8t LLC, 8401 Mayland Dr, Ste A, Richmond, VA 23294; telephone (703) 261-4790; email [email protected].
